Reporting to the Assistant General Counsel, the Corporate Counsel will be an integral part of Montrose's legal team and will work closely with members of the sales and operational teams. The Corporate Counsel will focus on negotiating and drafting contracts at the center of company's Air Quality Services business line, including master services agreements (MSAs), requests for proposals, terms and conditions, supply agreements and a wide range of subcontracts. The Corporate Counsel will drive meaningful improvements in how the company efficiently negotiates and manages its air quality services-related contracts and work closely with internal stakeholders to develop and implement improvements to contracting processes and tools. You'll need at least 3 years of relevant in-house experience, including experience drafting and negotiating commercial contracts, research and writing and corporate governance matters and welcome the opportunity to make an impact from day one.

A DAY IN THE LIFE

The Corporate Counsel may also be involved in providing other day-to-day operational support for both the air quality services business line and other Company business lines. The ideal candidate will have experience negotiating business-to-business commercial agreements with sufficient experience to operate autonomously under the supervision and direction of the Assistant General Counsel. The candidate should be equally comfortable contributing to discussions with executive management and supporting operational leadership on day-to-day matters while maintaining exceptional attention to detail. As a key member of the team, this role will be responsible for a full range of activities including:
  • Negotiating, interpreting, drafting, and negotiating commercial contracts, requests for proposals and other legal documents
  • Assisting with compliance and corporate governance matters (i.e. managing state licensing and filing requirements for subsidiaries)
  • Researching and analyzing the law on complex issues and writing concise, practical summaries for General Counsel and operational leadership
  • Willingness and ability to operate independently of junior staff
  • Excellent interpersonal skills and the ability to communicate, verbally and through written means, and interact with others effectively
  • Exercises safe work practices by following all Company safety rules and OSHA regulations, including attendance at all required safety training programs.
  • Participates in Company's continuous improvement programs and provide support to team efforts.
  • Keeps up-to-date and current on industry trends by completing formal training, reviewing professional publications, and attending professional workshops.
  • Performs other duties as assigned.
NECESSARY QUALIFICATIONS

To perform this job successfully, individuals must be able to perform each duty and responsibility satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.
  • J.D. and admission to state bar
  • Strong academic credentials
  • 3+ years of relevant in-house experience, including experience drafting and negotiating commercial contracts, research and writing and corporate governance matters
  • Environmental law and federal contracting experience preferred, but not required
  • Sound and practical business judgment as well as common sense
  • Comfort in identifying, prioritizing, and solving problems
  • Strong writing and presentation skills and attention to detail, organizational skills, and a commitment to quality
  • Ability to prioritize tasks, think clearly under pressure, meet tight deadlines, and thrive with minimal supervision in a fast-pace, growing company
  • Ability to navigate uncertainty and provide legal guidance
  • Ability to think and act strategically and proactively
  • Ability to communicate effectively with cross-functional teams (e.g. HR, Health and Safety, IT and Finance)
