POSITION SUMMARY

Working with the Vertiv legal team, you will provide courteous and efficient support on day-to-day administrative tasks related to Vertiv's corporate legal matters.

RESPONSIBILITIES

The major responsibilities include:

  • Drafting, reviewing, and revising commercial contracts, NDAs, and other legal documents;
  • Assisting with board of director and corporate governance related matters;
  • Assisting with merger and acquisition related matters, including but not limited to project management tasks associated with due diligence;
  • A ssisting with claims and litigation matters;
  • Assisting with legal research, policy development, and records management;
  • Supporting entity management tasks, including assisting with the formation, maintenance and dissolution of corporations, limited liability companies, limited partnerships and other types of business entities;
  • Maintaining contract forms and corporate records and related databases; assisting attorneys with various corporate securities matters, including periodic filings and related research;
  • HR assistance as necessary; and administrative support for the Vertiv legal department such as filing, copying or assembling documents, managing calendars, assisting attorneys with department and legal matter related budgets, mail intake, and digital/physical record retention, scheduling meetings and visitors, and making travel arrangements (as necessary).
  • Must be detail-oriented, organized and dependable.
  • This position is exposed to proprietary company information, so strict discretion and adherence to confidentiality policy and protocol is required.

QUALIFICATIONS

Minimum Qualifications:
  • Bachelor's degree or higher from an accredited institution
  • Paralegal certificate from an accredited institution
  • At least 5 years of experience as a practicing corporate paralegal and
    • 2 or more years of in-house corporate paralegal experience (preferred) or
    • 5 years of corporate paralegal practice representing companies similar to Vertiv while part of a reputable law firm
  • Knowledge and strong experience working with Microsoft Office Suite and cloud based database/docketing software.
  • Enthusiasm, influencing skills, presence, and confidence necessary to tackle sophisticated corporate legal issues in a dynamic, global business setting
  • Experience making tough decisions, credibly challenging the status quo when necessary, being pragmatic and decisive, and inspiring smart risk taking, independent thinking and strategic approaches to resolution of corporate legal matters.
  • Highly effective written and verbal communication skills, with an ability to communicate and interact at all levels of the organization
  • Detail-oriented with strong organizational skills and proven ability to manage high-impact projects
  • Results-oriented approach; personal and organizational accountability; and a collegial work style
  • Ability to collaborate and communicate effectively with outside counsel and third party advisors, and within a fast-paced corporate environment, including legal, finance, investor relations, accounting, and business development teams.
  • Uncompromising honesty and integrity
  • Up to 10% travel may be required. Standard office work environment.

Preferred Qualifications:
  • Real-world in-house experience advising a manufacturing or technology company on corporate legal matters, such as M&A, corporate governance, and securities matters.
